INFORMATION ON SHARE CAPITAL

Share capital
The Company share capital amounts to Euro 100,166,937 and consists of 22,182,583 ordinary shares each with a nominal value of Euro 2.60 and 16,343,162 savings shares each with a nominal value of Euro 2.60.

Types of share
The ordinary shares are registered, whereas the savings shares can be either registered or bearer, at the choice and expense of the shareholder. Ordinary shares carry voting rights in both the ordinary and extraordinary shareholders’ meetings; the savings shares carry no voting rights.
Holders of savings shares are entitled to a preference dividend of up to 5% of the nominal value of the share, being 3% higher than the value assigned to the ordinary shares, in the absence of a shareholders’ resolution  to make allocations to extraordinary provisions or a Board decision to destine same for other uses.

Advances on dividends may be distributed within the terms and limits established by law.
